1) Where does Qualicorp´s shares traded?

Qualicorp´s shares are traded by B3 under the ticker “QUAL3” and listed in the New Market, the highest level of corporate governance practices.

2) What are Qualicorp´s common shares rights?

Qualicorp’s shares grant their holders rights that are listed on the Company Bylaws, among them we highlight:

  • The right to vote at the Company’s General Meetings;
  • The Company will distribute as minimum mandatory dividend, in each fiscal year, 25% (twenty-five percent) of the remaining profit after the allocation to the legal reserve, adjusted by the eventual constitution of contingency reserves and the respective reversals, if applicable;
  • In the event of cancellation of the Company’s registration as a publicly-held company regarding CVM or the delisting from B3’s New Market, the right to sell its shares in a public acquisition offering to be launched by the Company, shareholders or controlling shareholders group;
  • All other rights assured to the Shares, under the terms foreseen in B3’s New Market Regulations, in Qualicorp’s Bylaws and in the Brazilian Corporation Law.
3) How and when does Qualicorp disclose its information?

All Qualicorp’s quarterly financial statements, earnings releases, presentations, material facts, notices to shareholders, earnings announcements and other notices to the market are published simultaneously at CVM (www.cvm.gov.br) and B3 (www.b3.com.br/pt_br/) and on the page “CVM filings” in the investor relations area of the Company’s website (www.qualicorp.com.br/ir), and sent later by email to those registered to receive this information. Complete financial statements are published annually on the newspapers “Diário Oficial do Estado de São Paulo” and “Valor Econômico”. Other information about the Company also may be obtained on the website of São Paulo Stock Exchange (www.b3.com.br/en_us/) and at the Securities and Exchange Commission of Brazil – CVM (www.cvm.gov.br).

4) How individuals not resident in Brazil can invest in Qualicorp shares?

The investors residing outside Brazil, including institutional investors, are authorized to acquire securities, including Qualicorp shares, at the Brazilian stock exchanges, as long as they comply with the register requirements under Resolution nº 2,689 and CVM Instruction nº 325, of January 27, 2000, and amendments.

The investors registered under Resolution nº 2,689, except for certain circumstances, may carry out any type of transaction in the Brazilian capital market involving a security traded in the stock exchange, futures market or organized over-the-counter market. The investments in and remittances of, outside Brazil, earnings, dividends, profits or other payments related to Qualicorp shares are carried out through the foreign exchange market.

To become an investor registered under the provisions of Resolution nº 2,689, an investor residing outside Brazil shall:

  • appoint representative in Brazil, with powers to perform actions relating to its investment;
  • appoint an authorized custodian in Brazil for its investment under Resolution nº 2,689, which must be a financial institution duly authorized by the BACEN and CVM; and
  • through its representative, register as a non-Brazilian investor with the CVM and register the investment with the BACEN.

Securities and other financial assets held by non-Brazilian investors pursuant to CMN Resolution no 2,689 must be registered or maintained in deposit accounts or under the custody of an entity duly licensed by the BACEN or the CVM. In addition, securities trading are restricted to transactions carried out in the stock exchange or through organized over-the-counter markets licensed by the CVM.

5) Who is responsible for providing shareholder services and where are they provided?

The financial institution contracted to provide bookkeeping services and custody services for the Company’s Shares is Banco Bradesco S.A.
Qualicorp’s shareholds are attended at any branch of Bradesco S.A., whose head office is located at Cidade de Deus, s/n, Vila Yara, in the Municipality of Osasco, São Paulo, Brazil.

7) What are ANS main Regulations over Qualicorp?

The National Agency for Supplementary Health (ANS) is the regulatory agency linked to the Ministry of Health, responsible for the health plans sector in Brazil. It acts through the creation of norms in the control and supervision of market segments to ensure the public interest.
